Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Discom360 platform ("Platform"), the website at discom360.com ("Site"), and any related services provided by Stratalis Tech LLP ("Company", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. License Grant
Subject to these Terms and the payment of applicable fees, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Platform solely for your internal business operations as a power distribution company or authorised utility operator.
This license does not convey any ownership interest in the Platform, its source code, algorithms, architecture, documentation, or any intellectual property embodied therein. All rights not expressly granted are reserved by Stratalis Tech LLP.
2. License Restrictions
You shall not, and shall not permit any third party to:
- Copy, modify, adapt, translate, or create derivative works of the Platform or any component thereof
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Platform
- Sublicense, sell, resell, transfer, assign, lease, rent, or distribute access to the Platform to any third party
- Use the Platform to provide bureau, outsourcing, or managed services to third parties without prior written consent
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform
- Use the Platform in any manner that violates applicable law or regulation, or that could impair the security or integrity of critical infrastructure
- Attempt to gain unauthorised access to any systems, networks, or data associated with the Platform
3. Revocation
This license is revocable. We may suspend or terminate your access to the Platform at any time, with or without cause, upon written notice. Grounds for revocation include, but are not limited to:
- Breach of any provision of these Terms
- Non-payment of applicable fees
- Use of the Platform in a manner that threatens the security or availability of the Platform or the critical infrastructure it supports
- Applicable legal or regulatory requirements
Upon termination, your right to access and use the Platform ceases immediately. We will, upon request, provide a reasonable transition period for data export, subject to applicable law and contractual obligations.
4. Intellectual Property
The Platform, including all software, documentation, user interfaces, designs, algorithms, machine learning models, data structures, and associated intellectual property, is and shall remain the exclusive property of Stratalis Tech LLP. Nothing in these Terms shall be construed as transferring any ownership right to you.
Any feedback, suggestions, or improvement ideas you provide regarding the Platform may be freely used by us without obligation or compensation.
5. Data Ownership
You retain ownership of all operational data (metering data, consumer records, billing data, and other utility-specific information) that you input into or generate through the Platform ("Customer Data"). We process Customer Data solely on your behalf and in accordance with our Privacy Policy and any applicable data processing agreement.
We may use aggregated, de-identified data derived from Platform usage for the purpose of improving Platform performance, security, and functionality, provided such data cannot reasonably be used to identify you or your consumers.
6. Service Availability
We use commercially reasonable efforts to maintain Platform availability consistent with the operational requirements of power distribution infrastructure. However, we do not guarantee uninterrupted or error-free access. Scheduled maintenance windows will be communicated in advance where practicable. We shall not be liable for service interruptions caused by force majeure events, third-party infrastructure failures, or actions outside our reasonable control.
7. Security Obligations
You are responsible for maintaining the security of your account credentials, API keys, and authentication tokens. You must promptly notify us of any suspected unauthorised access to your account or the Platform. We are not liable for losses resulting from your failure to safeguard access credentials.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Stratalis Tech LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Platform, regardless of the theory of liability.
Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Stratalis Tech LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in India.
11. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Site or by direct notification at least thirty (30) days prior to taking effect. Continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.
